Agreement to Terms

By accessing or using BARS AI ("Service"), operated by WFY Solutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

Eligibility

You must be:

• At least 18 years old
• A certified CPA or authorized representative of a CPA firm
• Authorized to bind your organization to these terms
• In compliance with all applicable laws and regulations

Account Registration

To use BARS AI, you must:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access

Subscription and Payment

Subscription Plans

BARS AI offers the following subscription tiers:

• Basic: $297/month (up to 25 clients)
• Professional: $697/month (up to 100 clients)
• Enterprise: Custom pricing (unlimited clients)

Billing

• Subscriptions are billed monthly in advance
• Payments are processed through Stripe
• All fees are in U.S. Dollars
• You authorize recurring charges to your payment method
• Failed payments may result in service suspension

Free Trial

• Free trials are available for 14 days or 1 report (whichever comes first)
• No credit card required for trial
• One free trial per organization
• We reserve the right to refuse free trial access

Refunds

• Refunds are issued at our discretion
• Pro-rated refunds may be available for annual plans
• Request refunds within 30 days of charge

Cancellation

You may cancel your subscription at any time:

• Cancellation takes effect at the end of the current billing period
• You retain access until the end of the paid period
• No refunds for partial months
• You may reactivate at any time

Acceptable Use

You May

• Use BARS AI for legitimate business intelligence purposes
• Generate reports for your clients
• Connect your QuickBooks or Sage accounts
• Access your account from multiple devices

You May Not

• Share your account credentials
• Reverse engineer or decompile the Service
• Use the Service for illegal purposes
• Attempt to gain unauthorized access to our systems
• Resell or redistribute the Service without authorization
• Use the Service to compete with us
• Overload or interfere with our infrastructure
• Remove or obscure any proprietary notices

QuickBooks and Sage Integration

By connecting your accounting software:

• You grant us read-only access to your data
• You represent that you have authority to grant this access
• You can revoke access at any time
• We are not responsible for data from your accounting software
• You remain responsible for data accuracy

Intellectual Property

Our Rights

We own all rights to:

• The BARS AI platform and technology
• Our algorithms and AI models
• Our trademarks and branding
• Documentation and training materials

Your Rights

You retain all rights to:

• Your financial data
• Your client information
• Reports generated using your data

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes during your subscription term.

Data and Privacy

Our handling of your data is governed by our Privacy Policy. Key points:

• We don't store your client financial data
• Data is processed in real-time for report generation
• You remain the data controller
• We comply with GDPR, CCPA, and other data protection laws

Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We are not liable for:

• Scheduled maintenance
• Third-party service outages (QuickBooks, Sage, AWS, etc.)
• Internet connectivity issues
• Force majeure events

Professional Responsibility

Important: BARS AI is a tool to assist CPAs, not a substitute for professional judgment.

• You remain responsible for all work product
• Review all AI-generated content before client delivery
• Comply with all CPA professional standards
• Maintain appropriate professional liability insurance

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability is limited to the amount you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for loss of profits, data, or business opportunities

Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your infringement of third-party rights

Modifications to Service

We reserve the right to:

• Modify or discontinue features
• Change pricing with 30 days notice
• Update these Terms (we'll notify you of material changes)

Termination

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails
• You engage in fraudulent activity
• Required by law

Governing Law

These Terms are governed by the laws of the State of Vermont, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes will be resolved through:

• Good faith negotiations first
• Binding arbitration if negotiations fail
• Arbitration in Morrisville, Vermont
• American Arbitration Association rules apply

Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and WFY Solutions regarding the Service.
